  1. VNC END USER LICENSE AGREEMENT
  2.  
  3.  
  4. IN ORDER TO INSTALL ANY PART OF THE SOFTWARE (AS DEFINED BELOW),
  5. AND/OR TO RETAIN THE SERVICES OF REALVNC, YOU MUST FIRST ACCEPT
  6. THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY USING ALL OR ANY
  7. PORTION OF THE SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS
  8. OF THIS AGREEMENT. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE
  9. LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO
  10. NOT AGREE THEN DO NOT INSTALL OR USE ANY PART OF THE SOFTWARE. BY
  11. INSTALLING ANY UPDATED VERSION OF THE SOFTWARE WHICH MAY BE MADE
  12. AVAILABLE, YOU ACCEPT THAT THE TERMS OF THIS AGREEMENT APPLY TO
  13. SUCH UPDATED SOFTWARE. REALVNC LIMITED ("REALVNC") MAY MODIFY
  14. THESE TERMS AND CONDITIONS AT ANY TIME. BY INSTALLING ANY UPDATED
  15. VERSION OF THE SOFTWARE WHICH MAY BE MADE AVAILABLE, YOU ACCEPT
  16. THAT THE MODIFIED TERMS OF THIS AGREEMENT APPLY TO SUCH UPDATED
  17. SOFTWARE.

  19.  
  20. 1. IN THIS AGREEMENT
  21.  
  22.    "Deployment Software" means VNC Deployment Tool available
  23.    from the Website including documentation, updates, modified
  24.    versions and copies of the Deployment Software.
  25.  
  26.    "Desktop" means a graphical user interface, whether accessible
  27.    via a console attached to the Host, via the Software, or by
  28.    any similar means.
  29.  
  30.    "Enterprise License Key" means a License Key enabling enhanced
  31.    functionality as described on the Website.
  32.  
  33.    "Free License Key" means a License Key enabling basic
  34.    functionality as described on the Website.
  35.  
  36.    "Host" means the computer on which the Software is to be
  37.    installed.
  38.  
  39.    "License Key" means a code obtained from RealVNC which enables
  40.    the Software to be used.
  41.  
  42.    "Personal License Key" means a License Key enabling enhanced
  43.    functionality as described on the Website.
  44.  
  45.    "Server Software" means VNC Version 5.0 or later of the
  46.    programs available from the Website, including documentation,
  47.    updates, modified versions and copies of the Server Software.
  48.  
  49.    "Viewer Software" means VNC Version 5.0 or later of the
  50.    programs available from the Website including documentation,
  51.    updates, modified versions and copies of the Viewer Software.
  52.  
  53.    "Services" means the support services set out in clause 5.
  54.  
  55.    "Software" means the Server Software and/or the Viewer
  56.    Software and/or the Deployment Software.
  57.  
  58.    "Website" means http://www.realvnc.com.
  59.  
  60.  
  61. 2. LIMITED TRIAL PERIOD
  62.  
  63.    The Software can be evaluated for a limited trial non
  64.    exclusive license period as set out in the Website. It will
  65.    perform for only a limited period of time. THE LIMITED TRIAL
  66.    SOFTWARE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OR
  67.    LIABILITY ON REALVNC'S PART TO YOU WHATSOEVER.

  70. 3. INTELLECTUAL PROPERTY RIGHTS
  71.  
  72. 3.1 The Software, its structure and algorithms, and the
  73.     Information provided with the software or available on the
  74.     Website are protected by copyright and other intellectual
  75.     property laws, and all intellectual property rights in
  76.     them belong to RealVNC or are licensed to it. You may not
  77.     reproduce, publish, transmit, modify, create derivative
  78.     works from, or publicly display the Software or any part of
  79.     it. Copying or storing or using the Software other than as
  80.     permitted in Clause 4 is expressly prohibited unless you
  81.     obtain prior written permission from RealVNC.

  84. 4. PERMITTED AND PROHIBITED USES
  85.  
  86. 4.1 You require a License Key for each Desktop that is to be made
  87.     accessible using the Server Software.
  88.  
  89. 4.2 During the term of this Agreement and as long as you
  90.     comply with the terms of this agreement, you are granted a
  91.     non-exclusive non-transferable non-sublicensable license
  92.     to install and use the Server Software on no more than the
  93.     number of Desktops for which you have obtained License
  94.     Keys. In the case of Free License Key, the Server Software
  95.     may only be used for your individual private purposes. In the
  96.     case of a Personal License Key or an Enterprise License Key,
  97.     the Server Software may additionally be used for the internal
  98.     purposes of your business or organisation on Hosts owned by
  99.     your business or organisation.
  100.  
  101. 4.3 You may make as many copies of the Server Software as you
  102.     require and install the Server Software on your Hosts to
  103.     the extent you have License Keys for such copies. You are
  104.     expressly prohibited from transferring or distributing the
  105.     Server Software in any format, in whole or in part, for sale,
  106.     or for commercial use or for any unlawful purpose.
  107.  
  108. 4.4 You may not rent, lease or otherwise transfer the Software
  109.     or allow it to be copied except as expressly permitted under
  110.     this Agreement. Unless permitted by law, you may not modify,
  111.     reverse engineer, decompile or disassemble the Software or
  112.     use any of the confidential information of RealVNC contained
  113.     in or derived from the Software to develop or market any
  114.     software which is substantially similar in its function or
  115.     expression to any part of the Software.
  116.  
  117. 4.5 You must treat the Software as RealVNC's confidential
  118.     information.
  119.  
  120. 4.6 During the term of this Agreement and as long as you
  121.     comply with the terms of this agreement, you are granted a
  122.     non-exclusive non-transferable non-sublicensable license to
  123.     install and use the Viewer Software for your personal use or
  124.     for the internal use of your business or organisation. You
  125.     are expressly prohibited from transferring or distributing
  126.     the Viewer Software in any format, in whole or in part, for
  127.     sale, or for commercial use or for any unlawful purpose.
  128.  
  129. 4.7 The Viewer Software is only warranted and supported to the
  130.     extent it is used in conjunction with a licensed copy of
  131.     the Server Software or of any other RealVNC Server product
  132.     explicitly stated to qualify for use with the Viewer Software.
  133.  
  134. 4.8 During the term of this Agreement and as long as you
  135.     comply with the terms of this agreement, you are granted a
  136.     non-exclusive non-transferable non-sublicensable license to
  137.     install and use the Deployment Software for the internal
  138.     purposes of your business or organisation on Hosts owned by
  139.     your business or organisation.
  140.  
  141. 4.9 You may make as many copies of the Deployment Software as you
  142.     require and use it to install the Server Software on your
  143.     Hosts to the extent you have Enterprise License Keys for
  144.     such copies. You are expressly prohibited from transferring
  145.     or distributing the Deployment Software in any format, in
  146.     whole or in part, for sale, or for commercial use or for any
  147.     unlawful purpose.

  149.  
  150. 5. SUPPORT SERVICES
  151.  
  152. 5.1 During the term of this Agreement, provided all relevant
  153.     Support Fees (as set out in the Website) which are due and
  154.     owing have been paid, RealVNC will provide the following
  155.     services to you in relation to the Software in accordance
  156.     with the terms and conditions of this Agreement.
  157.  
  158. 5.2 Provided you promptly notify RealVNC of any material defect
  159.     in the Software (being any corrupt download, or License Key),
  160.     RealVNC shall, subject to the following provisions, use its
  161.     reasonable endeavours to correct the problem and provide
  162.     a corrected version as soon as practicable after being so
  163.     notified.
  164.  
  165. 5.3 Updates or improvements to the Software published by RealVNC
  166.     shall be made available on the Website.
  167.  
  168. 5.4 The Services do not include the correction of any defects due
  169.     to:-
  170.  
  171. 5.4.1 any combination or inclusion of the Software with or in any
  172.       computer program, equipment or devices not on the approved
  173.       list on the Website;
  174.  
  175. 5.4.2 you not giving RealVNC a sufficiently detailed description
  176.       of the defect to enable RealVNC to identify the defect and
  177.       to perform the Services;
  178.  
  179. 5.4.3 any improper or unauthorised use or operation of the
  180.       Software.
  181.  
  182. 5.5 If a defect cannot be resolved in a reasonable time your
  183.     exclusive remedy will be for RealVNC to either, at its sole
  184.     option, replace the Software or refund the license fee paid
  185.     for the Software.
  186.  
  187. 5.6 The Services shall continue in force for a period of twelve
  188.     months from the date of issue of a License Key, and may be
  189.     continued by payment of the relevant Support Fees set out in
  190.     the Website. The Services are automatically terminated if you
  191.     fail to pay the Support fees when due.
  192.  
  193.  
  194. 6. FEES
  195.  
  196. 6.1 All fees, expenses or other sums payable under this
  197.     Agreement are exclusive of any applicable value added tax
  198.     or other applicable taxes or duties for which you shall be
  199.     additionally liable.
  200.  
  201. 6.2 If any sum payable to RealVNC is not paid within 14 days
  202.     after the due date RealVNC may suspend performance of its
  203.     obligations and/or charge interest on a daily basis at the
  204.     rate of 4% above the Barclays Bank Base Rate from time to
  205.     time in force, compounded quarterly, from the date for
  206.     payment of that sum to the date of actual payment.
  207.  
  208.  
  209. 7. LIMITED WARRANTY
  210.  
  211. 7.1 RealVNC warrants to the original licensee that the
  212.     Software will perform substantially in accordance with any
  213.     documentation provided for it for 90 days from the date of
  214.     issue of a License Key when used on Hosts meeting the minimum
  215.     hardware and software requirements specified on the Website.
  216.  
  217. 7.2 This limited warranty applies only if any problem is reported
  218.     to RealVNC during the above warranty period. It is void if
  219.     the failure of the Software is the result of accident, abuse,
  220.     misapplication or inappropriate use of the Software or use
  221.     with Hosts not meeting the minimum hardware and software
  222.     requirements specified on the Website.
  223.  
  224. 7.3 If the Software does not perform according to the above
  225.     warranty, then you must make a warranty claim in writing to
  226.     RealVNC and your exclusive remedy will be for RealVNC to
  227.     either, at its sole option, replace the Software or refund
  228.     the license fee paid for the Software.
  229.  
  230.  
  231. 8. LIMITATION ON LIABILITY
  232.  
  233.    EXCEPT FOR THE EXPRESS WARRANTIES GIVEN IN THIS AGREEMENT, TO
  234.    THE EXTENT PERMITTED BY LAW, REALVNC DISCLAIMS ALL WARRANTIES
  235.    CONDITIONS OR REPRESENTATIONS ON THE SOFTWARE AND/OR SERVICES,
  236.    EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE
  237.    IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF
  238.    THIRD PARTY RIGHTS AND FITNESS FOR PARTICULAR PURPOSE.

  240.    TO THE EXTENT PERMITTED BY LAW REALVNC SHALL NOT BE LIABLE
  241.    FOR ANY DIRECT, CONSEQUENTIAL INDIRECT OR INCIDENTAL LOSS,
  242.    COSTS OR DAMAGES WHATSOEVER INCLUDING LOST PROFITS OR SAVINGS
  243.    ARISING FROM THE SERVICES, THE USE OF THE SOFTWARE, RELIANCE
  244.    ON THE DATA PRODUCED OR INABILITY TO USE THE SOFTWARE, OR
  245.    REALVNC'S NEGLIGENCE (INCLUDING LOSS OR DAMAGE TO YOUR (OR ANY
  246.    OTHER PERSON'S) DATA OR COMPUTER PROGRAMS) EVEN IF REALVNC HAS
  247.    BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. REALVNC'S
  248.    LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL BE
  249.    LIMITED TO THE AMOUNT PAID FOR THE SOFTWARE, IF ANY.
  250.  
  251.    NOTHING IN THIS AGREEMENT LIMITS LIABILITY FOR DEATH OR
  252.    PERSONAL INJURY ARISING FROM A PARTY'S NEGLIGENCE OR FROM
  253.    FRAUDULENT MISREPRESENTATION ON THE PART OF A PARTY.

  255.  
  256. 9. EXPORT CONTROL
  257.  
  258.    The United States and other countries control the export of
  259.    Software and information. You are responsible for compliance
  260.    with the laws of your local jurisdiction regarding the import,
  261.    export or re-export of the Software, and agree to comply with
  262.    such restrictions and not to export or re-export the Software
  263.    where this is prohibited. By downloading the Software, you are
  264.    agreeing that you are not a person or entity to which such
  265.    export is prohibited.  RealVNC is a Limited company in England
  266.    and Wales.

  268.  
  269. 10. TERM AND TERMINATION
  270.  
  271. 10.1 This license shall continue in force unless and until it
  272.      is terminated by RealVNC by e-mail notice to you, if it
  273.      reasonably believes that you have breached a material term
  274.      of this Agreement.
  275.  
  276.      In the case above, you must delete and destroy all copies of
  277.      the Software in your possession and control and overwrite
  278.      any electronic memory or storage locations containing the
  279.      Software.
  280.  
  281.  
  282. 11. GENERAL TERMS
  283.  
  284. 11.1 The construction, validity and performance of this Agreement
  285.      shall be governed in all respects by English law, and the
  286.      Parties agree to submit to the non- exclusive jurisdiction
  287.      of the English courts.
  288.  
  289. 11.2 If any provision of this agreement is found to be invalid
  290.      by any court having competent jurisdiction, the invalidity
  291.      of such provision shall not affect the validity of the
  292.      remaining provisions of this agreement, which shall remain
  293.      in full force and effect.
  294.  
  295. 11.3 Despite anything else contained in this Agreement, neither
  296.      party will be liable for any delay in performing its
  297.      obligations under this Agreement if that delay is caused
  298.      by circumstances beyond its reasonable control (including,
  299.      without limitation, any delay caused by an act or omission
  300.      of the other party) and the party affected will be entitled
  301.      to a reasonable extension of time for the performance of its
  302.      obligations.
  303.  
  304. 11.4 No waiver of any term of this agreement shall be deemed a
  305.      further or continuing waiver of such term or any other term.
  306.  
  307. 11.5 You may not assign, subcontract, sublicense or otherwise
  308.      transfer any of your rights or obligations under this
  309.      Agreement. RealVNC may assign all or part of the benefits or
  310.      all or part of its obligations under this Agreement to any
  311.      affiliated company.
  312.  
  313. 11.6 This agreement constitutes the entire agreement between you
  314.      and RealVNC in relation to the provision of the Software or
  315.      the Services.
